1Partnership Agreement

By submitting a partnership application to VentureIT Global Solutions PVT LTD ("VentureIT," "we," "us," or "our"), you ("Partner," "you," or "your") agree to be bound by these Terms and Conditions. This agreement governs the partnership relationship between your organization and VentureIT.

3Partner Obligations

3.1 General Obligations

As a partner, you agree to:

• Maintain professional standards in all dealings with VentureIT and its customers
• Protect and maintain the confidentiality of VentureIT's proprietary information
• Comply with all applicable local, national, and international laws and regulations
• Provide accurate and truthful information in all communications and reports
• Maintain required certifications and qualifications relevant to the partnership
• Report any conflicts of interest immediately upon discovery
• Not engage in any activity that could harm VentureIT's reputation or business interests

3.2 Compliance Requirements

• Adhere to VentureIT's Code of Conduct and Ethics Policy
• Implement adequate data protection and security measures
• Maintain appropriate insurance coverage as specified by VentureIT
• Participate in required training programs and certifications
• Submit regular reports as requested by VentureIT

4Intellectual Property Rights

4.1 Ownership

All intellectual property rights, including but not limited to patents, trademarks, copyrights, trade secrets, and proprietary information, remain with their respective owners.

4.2 License Grant

VentureIT grants Partner a limited, non-exclusive, non-transferable license to use VentureIT's trademarks and marketing materials solely for the purposes outlined in this agreement.

4.3 Restrictions

• Partners may not modify, reverse engineer, or create derivative works from VentureIT's intellectual property
• All use of VentureIT's trademarks must comply with brand guidelines
• Partners must obtain written approval before creating custom marketing materials featuring VentureIT's brand

5Confidentiality

5.1 Confidential Information Includes:

• Business strategies and plans
• Customer lists and data
• Pricing information
• Technical specifications and source code
• Financial information
• Marketing strategies and campaigns

5.2 Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no breach by the receiving party
• Was rightfully known before receipt from the disclosing party
• Is required to be disclosed by law or court order

6Revenue Sharing and Compensation

6.1 Commission Structure

6.2 Payment Terms

• Commissions are calculated monthly and paid within 45 days
• Minimum payout threshold: INR 10,000 or USD 150
• Payment via bank transfer or approved payment methods
• All applicable taxes are the responsibility of the Partner

7Support and Training

7.1 VentureIT Will Provide:

• Initial partner onboarding and training (minimum 40 hours)
• Access to partner portal with resources and documentation
• Technical support during business hours (9:30 AM - 7:00 PM IST)
• Regular product updates and roadmap briefings
• Marketing materials and sales collateral
• Quarterly business reviews

7.2 Support Levels:

8Termination

8.1 Termination by Either Party

Either party may terminate this agreement:

• With 30 days written notice for convenience
• Immediately for material breach that remains uncured after 15 days notice
• Immediately for insolvency, bankruptcy, or cessation of business

8.2 Effects of Termination

• All licenses granted under this agreement terminate immediately
• Partner must return or destroy all confidential information
• Outstanding commissions will be paid per the agreement terms
• Post-termination obligations (confidentiality, non-compete) remain in effect

9Dispute Resolution

9.1 Resolution Process

1. Negotiation: Parties will first attempt to resolve disputes through good faith negotiations
2. Mediation: If negotiation fails, disputes will be submitted to mediation in Jaipur, Rajasthan
3. Arbitration: Final resolution through binding arbitration under Indian Arbitration Act

9.2 Governing Law

This agreement shall be governed by the laws of India. The courts of Jaipur, Rajasthan shall have exclusive jurisdiction.
